Terms of Service

1. Parties and Acceptance
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and TalaStar Digital Ltd, a company registered in England and Wales under Company No. 17060305, with its registered office at Goldington Estate, Pancras Road, King's Cross, London, NW1 1UH (“TalaStar Digital”, “we”, “us”, “our”).
By accessing or using our website (www.talastar.digital), research portal, charity platform, MoneyGuard™ product pages, or any associated services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, you must not use our Services.
2. Description of Services
Our Services include:
- Access to mathematical research publications and manuscripts
- Research portal subscriptions with premium content access
- Charitable donation processing for TalaStar Foundation initiatives
- Free 30-day trial access to premium research content
- Information about our technology ventures (WEAN O₂, GAPS Reactor, MoneyGuard™)
- MoneyGuard™ product information and future financial technology services
Important Regulatory Notice
TalaStar Digital Ltd is a technology provider and is not a bank, building society, or regulated financial institution. We are not authorised or regulated by the Financial Conduct Authority (FCA) for the provision of financial services. MoneyGuard™ is a technology concept under development and does not constitute financial advice, credit broking, or payment services. Any references to financial products, card controls, or transaction monitoring describe proposed technology features, not regulated financial services.
3. Account Registration
To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or unlawful purposes.
4. Free Trial
We offer a free 30-day trial for new users to access premium research content. The trial begins upon account registration and activation. At the end of the trial period, you may choose to subscribe to a paid plan. If you do not subscribe, your access to premium content will revert to the free tier. No payment information is required to start a trial.
We reserve the right to modify or discontinue the free trial offer at any time without prior notice. Only one free trial is permitted per person or household.
5. Payments and Subscriptions
Paid services are billed in advance on a recurring basis (monthly or annually). All payments are processed securely through Stripe, Inc. Prices are listed in the currency specified at the point of purchase (GBP, USD, or EUR).
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except where required by applicable consumer protection law (including the Consumer Rights Act 2015).
6. Charitable Donations
Donations made through our charity platform are processed by Stripe and are directed to the TalaStar Foundation initiatives as described on the relevant campaign pages. Donations are voluntary and non-refundable unless required by law.
We will provide donation receipts for tax purposes where applicable. The use of donated funds is governed by the specific campaign objectives and our charitable mission. TalaStar Digital Ltd is not a registered charity; donations are made to support the company’s social impact initiatives.
7. Intellectual Property
All content, features, and functionality of the Services are owned by TalaStar Digital Ltd and are protected by copyright, trademark, patent, and other intellectual property laws. This includes but is not limited to: research publications, software code, product designs, logos, and the MoneyGuard™ brand and concept. See our Copyright and IP page for full details.
“MoneyGuard” is a trademark of TalaStar Digital Ltd. “WEAN O₂” and “Vitalis AI” are trademarks of TalaStar Digital Ltd. UK Patent Application GB2600524.9 is pending for WEAN O₂ Technology, which is adapted using Vitalis AI. No patent has been filed for MoneyGuard.
8. Prohibited Conduct
You agree not to:
- Use the Services for any unlawful purpose
- Reproduce, distribute, or create derivative works from our content without permission
- Attempt to gain unauthorised access to our systems or other users’ accounts
- Interfere with or disrupt the integrity or performance of the Services
- Use automated systems (bots, scrapers) to access the Services without prior written consent
- Impersonate any person or entity or misrepresent your affiliation
- Use MoneyGuard™ technology concepts or documentation to develop competing products
- Reverse-engineer, decompile, or disassemble any part of the Services
9. Disclaimers and No Warranties
9.1 General Disclaimer
The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, TalaStar Digital Ltd disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation any warranties of merchantability, fitness for a particular purpose, and non-infringement.
9.2 Research Content Disclaimer
The research content provided on this platform is for informational and academic purposes only. We make no warranties regarding the completeness, accuracy, or applicability of any mathematical proofs, scientific claims, or research findings presented. Research content does not constitute professional advice of any kind.
9.3 MoneyGuard™ Technology Disclaimer (“False Negative Clause”)
MoneyGuard™ is a technology concept designed to assist with financial awareness and subscription management. It is not a guarantee of fraud prevention, security, or financial protection. No technology system can detect or prevent all fraudulent activity, unauthorised transactions, or subscription charges.
You acknowledge and agree that:
- MoneyGuard™ may fail to detect certain fraudulent transactions (“false negatives”)
- MoneyGuard™ may incorrectly flag legitimate transactions (“false positives”)
- MoneyGuard™ is an aid to financial awareness, not a substitute for your own vigilance
- You remain solely responsible for monitoring your financial accounts and transactions
- TalaStar Digital Ltd shall not be liable for any financial loss arising from reliance on MoneyGuard™ technology
9.4 Medical and Health Disclaimer
Information about WEAN O₂ and Vitalis AI is provided for research and informational purposes only. Nothing on this website constitutes medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare professional.
10. Limitation of Liability
Critical Legal Limitation — Please Read Carefully
10.1 Aggregate Liability Cap. To the maximum extent permitted by applicable law (including the Unfair Contract Terms Act 1977 and the Consumer Rights Act 2015), TalaStar Digital Ltd’s total aggregate liability to you — whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise — for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of: (a) the total fees actually paid by you to TalaStar Digital Ltd in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred pounds sterling (£100). This cap applies collectively to all claims, not per incident.
10.2 Exclusion of Consequential Damages. In no event shall TalaStar Digital Ltd, its directors, officers, employees, affiliates, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to: loss of profits, loss of revenue, loss of data, loss of business opportunity, loss of goodwill, cost of procurement of substitute services, or financial losses arising from undetected fraud, unauthorised transactions, or subscription charges — whether or not TalaStar Digital has been advised of the possibility of such damages, and regardless of the theory of liability.
10.3 Systemic Reliance Disclaimer. You expressly acknowledge that MoneyGuard™ and all related technology services are designed as supplementary security aids and are not intended to be the sole or primary method of fraud prevention, financial monitoring, or transaction security. You agree that you shall not rely exclusively on TalaStar Digital’s technology as a substitute for your own independent security measures, internal controls, or regulatory compliance obligations. TalaStar Digital shall bear no liability for losses that would have been prevented had the Client maintained its own reasonable security practices alongside TalaStar’s services.
10.4 Technology Provider Status. TalaStar Digital Ltd is a technology solutions provider. We are not a bank, building society, credit institution, or FCA-authorised financial services firm. We do not hold client funds, issue credit, or provide financial advice. Our liability is limited strictly to the performance of the technology services described in these Terms and any applicable Service Level Agreement.
10.5 Carve-Outs (Non-Excludable Liability). Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation by TalaStar Digital Ltd; (c) any liability that cannot be excluded or limited under applicable law, including under the Consumer Rights Act 2015; or (d) any breach of obligations implied by Section 12 of the Sale of Goods Act 1979 or Section 2 of the Supply of Goods and Services Act 1982.
10.6 Consumer Statutory Rights. If you are a consumer, you have legal rights under the Consumer Rights Act 2015 and other consumer protection legislation that cannot be excluded or restricted by these Terms. Nothing in these Terms affects those statutory rights. You may contact Citizens Advice (citizensadvice.org.uk) or your local Trading Standards office for further guidance.
10.7 Time Limitation on Claims. Any claim arising under or in connection with these Terms must be brought within twelve (12) months of the date on which the cause of action arose. This limitation does not apply where a shorter or longer limitation period is mandated by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless TalaStar Digital Ltd, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the Services.
This indemnification obligation shall survive the termination of these Terms and your use of the Services.
12. Force Majeure
TalaStar Digital Ltd shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control (“Force Majeure Event”), including but not limited to:
- Natural disasters, epidemics, or pandemics
- Acts of war, terrorism, or civil unrest
- Government actions, sanctions, or regulatory changes
- Power outages, internet infrastructure failures, or telecommunications disruptions
- Cyberattacks, DDoS attacks, or third-party service provider failures
- Strikes, labour disputes, or supply chain disruptions
In the event of a Force Majeure Event, our obligations under these Terms shall be suspended for the duration of the event, and we shall use reasonable endeavours to mitigate its effects and resume performance as soon as practicable.
13. Service Availability and Interruptions
We aim to maintain high availability of our Services but do not guarantee uninterrupted, error-free, or secure access. The Services may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our control.
Service Level Commitment
- Target uptime: We target 99.5% monthly uptime for our web services, excluding scheduled maintenance windows.
- Scheduled maintenance: We will endeavour to provide at least 24 hours’ notice for planned maintenance that may affect service availability.
- Incident response: In the event of an unplanned outage, we will use reasonable endeavours to restore service as quickly as practicable and communicate status updates via our website.
- No liability for downtime: We shall not be liable for any loss, damage, or inconvenience arising from service interruptions, whether planned or unplanned, except as required by applicable law.
If any MoneyGuard™ services become operational in the future, a separate Service Level Agreement (SLA) will be made available to business clients and will govern availability, response times, and remedies for service failures.
14. Data Protection
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in accordance with the UK GDPR and the Data Protection Act 2018.
Where TalaStar Digital Ltd processes personal data on behalf of a business client, a Data Processing Agreement (DPA) in accordance with Article 28 of the UK GDPR will be executed prior to any data processing activity.
15. Third-Party Services
Our Services may contain links to or integrate with third-party websites, services, or applications (including Stripe for payment processing). We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to those third parties’ terms and conditions.
16. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately.
Sections that by their nature should survive termination shall survive, including but not limited to: Intellectual Property (Section 7), Disclaimers (Section 9), Limitation of Liability (Section 10), Indemnification (Section 11), and Governing Law (Section 17).
17. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer habitually resident in the European Union, you may also benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy and Copyright and IP Policy, constitute the entire agreement between you and TalaStar Digital Ltd regarding the use of the Services and supersede all prior agreements, understandings, and representations.
20. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via a prominent notice on our website or by email where appropriate. Your continued use of the Services after such changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
